Terms of Service

The agreement between your organisation and Bay Three Ltd for use of the Bay Three service.

These Terms of Service (“Terms”) govern access to and use of Bay Three, the multi-tenant crew operations portal operated by Bay Three Ltd (“Bay Three”, “we”, “us”). The product is available at baythree.app and company spaces at {company}.baythree.app. Our marketing site is at baythree.co.uk.

By creating an account, starting a trial, or using the service, you agree to these Terms on behalf of the organisation you represent. If you do not agree, do not use the service.

1. The service

Bay Three provides software tools for install and event businesses to manage jobs, crew, kit, invoices, receipts and related operational records. We grant you a limited, non-exclusive, non-transferable right to use the service for your organisation’s internal business operations during an active trial or paid subscription.

We may improve, change or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.

2. Accounts and organisations

Each customer organisation typically has its own company space (subdomain). You must provide accurate registration details and keep admin credentials secure. You are responsible for activity under your organisation’s accounts and for ensuring users are authorised by you.

You must not share login credentials in a way that undermines security, attempt to access another organisation’s space, or misuse reserved hostnames or the platform.

3. Trial

New organisations receive a 14-day trial when they sign up. Trial access is intended to evaluate the service. We may limit seats, features or support during a trial. When the trial ends, operational features pause until a paid plan is active: admins can still open Billing to choose a plan, while events, diary, crew invites and other day-to-day ops wait until then. The same applies if a subscription is cancelled or unpaid.

4. Plans, billing and taxes

Paid plans (for example Starter, Ops and Company) and prices are described on our pricing page and may change from time to time. Unless stated otherwise, prices are in GBP.

Billing is handled through Stripe. By starting a paid subscription you authorise us (via Stripe) to charge the payment method you provide for the applicable plan fees and any agreed renewals. You are responsible for keeping payment details current. Failed payments may lead to suspension after notice.

Invoices and receipts for Bay Three subscription charges are provided through the billing flow where available.

5. Cancellation and termination

You may cancel a subscription via the billing controls in the product (where available) or by contacting hello@baythree.co.uk. Cancellation typically takes effect at the end of the then-current billing period unless we agree otherwise. Fees already paid are non-refundable except where required by law or expressly agreed in writing.

We may suspend or terminate access if you breach these Terms, fail to pay, misuse the service, or create risk to other customers. Either party may terminate if the other materially breaches these Terms and fails to remedy within a reasonable period after notice.

On termination or expiry we may disable access. You should export any data you need beforehand. We may delete or anonymise customer data after a reasonable retention period, subject to legal obligations and our privacy policy.

6. Your data and ownership

You own your operational data — including job records, crew assignments, kit movements, invoices, receipts and uploads your organisation stores in Bay Three. Bay Three does not claim ownership of that content.

You grant us a limited licence to host, process, back up and display that data solely to provide and improve the service, provide support, and meet legal requirements. We act as a service provider; you remain responsible for the lawfulness of data you enter (including personal data about your staff and contractors).

Personal data is handled as described in our privacy policy.

7. Acceptable use

You must not use the service to: break the law; infringe others’ rights; upload malware or harmful content; attempt unauthorised access, probing or interference; scrape or overload the platform in an abusive way; send spam; or host content unrelated to legitimate crew and ops use for your business.

We may remove content or suspend accounts that violate this section.

8. Confidentiality and security

Each party should protect the other’s confidential information with reasonable care. You must use appropriate access controls within your organisation. We apply reasonable technical and organisational measures, but no online service is perfectly secure.

9. Intellectual property

Bay Three, including the software, branding, documentation and site design, remains our intellectual property (or that of our licensors). These Terms do not transfer ownership of our IP to you. Feedback you give us may be used to improve the product without obligation to you.

10. Third-party services

The service may rely on third parties (for example hosting, authentication, file storage and Stripe for payments). Their terms and availability can affect the service. Optional integrations you enable (such as Google Sheets sync) are used at your direction and risk.

11. Disclaimer and liability

The service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that it will meet every operational need or that data will never be lost; you should keep your own backups of critical records where appropriate.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited under English law.

Subject to that, our total aggregate liability arising out of or in connection with the service or these Terms in any twelve-month period is limited to the fees you paid us for the service in that period (or, if you are only on a free trial, £100). We are not liable for indirect, consequential, special or lost-profit losses, or for loss of data to the extent beyond our reasonable control.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version at /terms and update the “Last updated” date. Continued use after changes take effect constitutes acceptance of the revised Terms, except where applicable law requires otherwise.

13. Governing law

These Terms and any dispute arising out of them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply if you are an individual consumer (Bay Three is aimed at business customers).
